These Terms of Service explain the rules for using PortalBay. PortalBay is a client portal tool for freelancers, studios, and small agencies. It helps users manage client requests, projects, communication, feedback, approvals, files, external project links, and related workflows in one workspace.

  • PortalBay is software. We provide tools for client portals, project communication, requests, feedback, approvals, files, links, and workflow organization.
  • PortalBay is not a marketplace. We do not connect buyers and sellers as a marketplace, and we do not supervise or guarantee relationships between users and their clients.
  • PortalBay is not an escrow service or payment intermediary. We do not hold, receive, release, transfer, guarantee, or manage payments between users and their clients.
  • Relationships between users and their clients are separate. Any agreement, project, payment, refund, chargeback, deliverable, timeline, revision, approval, or dispute between a user and a client is solely between those parties.
  • Users are responsible for their own content and conduct. Workspace owners and clients are responsible for the information, messages, files, external links, and materials they submit or manage through PortalBay.
  • Do not misuse PortalBay. Fraud, scams, phishing, spam, malware, harassment, impersonation, illegal content, unauthorized data collection, and attempts to bypass security are prohibited.
  • PortalBay is provided “as is.” We work to provide a reliable service, but we do not guarantee uninterrupted, error-free, perfectly secure, or loss-free operation.
  • These Terms may change. If you continue using PortalBay after updates become effective, you accept the updated Terms.

By accessing or using PortalBay, you agree to these Terms. If you do not agree, you must not use PortalBay.

1. Introduction

1.1 These Terms

These Terms of Service (“Terms”) govern your access to and use of PortalBay, including the PortalBay website, dashboard, public request forms, private client portals, messaging tools, project management features, notifications, billing-related features, and any related services we provide.

In these Terms:

  • “PortalBay,” “we,” “us,” and “our” refer to PortalBay.
  • “Service” refers to PortalBay and all related websites, applications, features, and services.
  • “User” or “workspace owner” refers to a person or organization using PortalBay to manage client portals, projects, requests, messages, or related workflows.
  • “Client” refers to a person or organization that accesses a public request form or private client portal created by a workspace owner.
  • “You” and “your” refer to anyone who accesses or uses PortalBay, including workspace owners, team members, and clients.

1.2 Agreement to These Terms

By creating an account, accessing a portal, submitting a request, using a workspace, or using any part of PortalBay, you agree to these Terms.

If you use PortalBay on behalf of a company, studio, agency, organization, or other legal entity, you represent that you have authority to accept these Terms on behalf of that entity.

1.3 Privacy Policy

Your use of PortalBay is also subject to our Privacy Policy, which explains how we collect, use, store, and share information.

The Privacy Policy is separate from these Terms and should be reviewed before using PortalBay.

1.4 No Professional Advice

PortalBay does not provide legal, financial, tax, accounting, business, professional, or dispute resolution advice. Any information, labels, templates, workflows, product features, or examples provided through PortalBay are for general software use only.

You are responsible for obtaining qualified professional advice where needed.

2. What PortalBay Is

2.1 Client Portal Software

PortalBay is a software-as-a-service tool designed to help freelancers, studios, and agencies organize client-facing work.

PortalBay may include features such as:

  • public intake or request forms;
  • client request management;
  • client records;
  • project records;
  • private client portals;
  • project communication;
  • messages;
  • feedback and revision requests;
  • approvals;
  • files, file links, and reference links;
  • external project links;
  • email or in-app notifications;
  • subscription and billing tools for PortalBay plans.

2.2 Software Provider Only

PortalBay provides software tools only. PortalBay does not provide freelance services, studio services, agency services, client work, project delivery, financial services, legal services, tax services, or professional advisory services on behalf of users or clients.

PortalBay does not verify, control, supervise, guarantee, or endorse any user, client, project, deliverable, payment, deadline, approval, refund, or dispute.

2.3 What PortalBay Is Not

PortalBay is not:

  • a marketplace;
  • an escrow service;
  • a bank;
  • a money transmitter;
  • a payment intermediary;
  • a payment processor for client payments;
  • a financial institution;
  • a dispute resolution service;
  • a party to any agreement between users and their clients;
  • responsible for project delivery, project quality, payment collection, refunds, chargebacks, or disputes between users and their clients.

2.4 Neutral Infrastructure

PortalBay provides neutral software infrastructure. Workspace owners are independent operators. Clients interact with workspace owners through portals configured by those workspace owners.

Nothing in your use of PortalBay creates an employment, partnership, agency, joint venture, franchise, fiduciary, escrow, payment intermediary, or marketplace relationship between PortalBay and any user or client.

3. Eligibility and Accounts

3.1 Age Requirement

You must be at least 18 years old, or the age of majority in your jurisdiction, to create a PortalBay account.

By creating an account or using PortalBay as a workspace owner, you confirm that you meet this requirement and can legally agree to these Terms.

3.2 Account Information

You agree to provide accurate, current, and complete account information and to keep that information updated.

You must not provide false, misleading, or unauthorized information when creating or using an account.

3.3 Account Security

You are responsible for maintaining the security and confidentiality of your account credentials, workspace access, portal links, access codes, and any other authentication details.

You are responsible for activity that occurs through your account, workspace, or portal access, except to the extent caused by PortalBay’s own intentional misconduct.

If you believe your account, workspace, portal link, or access code has been compromised, you should contact us promptly at support@mail.portalbay.app.

3.4 Business or Organization Use

If you use PortalBay on behalf of a business, studio, agency, company, or other organization, you represent that you have authority to use PortalBay and accept these Terms on behalf of that organization.

3.5 Account Transfers

You may not sell, transfer, assign, or share your PortalBay account with another person or organization without our prior written permission.

4. Workspaces, Workspace Owners, and Clients

4.1 Workspaces

Workspace owners may create workspaces to manage client-facing workflows, including clients, projects, requests, messages, portals, feedback, approvals, links, and notifications.

The workspace owner is responsible for the workspace and for activity, content, settings, permissions, client data, project data, and portal access associated with that workspace.

4.2 Workspace Owners

A “workspace owner” is a PortalBay user who creates or manages a workspace for freelance, studio, agency, professional, or client-facing work.

Workspace owners are responsible for their own business operations, client relationships, services, pricing, invoices, taxes, payment terms, delivery obligations, refund terms, communications, and disputes.

4.3 Clients

A “client” is a person or organization that accesses a workspace owner’s public request form or private client portal, or communicates with a workspace owner through PortalBay.

Clients do not create full PortalBay accounts unless PortalBay introduces that feature later. Clients may access private portals through portal links and access codes.

Clients must follow the parts of these Terms that apply to their use of PortalBay.

4.4 Workspace Owner-Client Relationship

The relationship between a workspace owner and a client is independent from PortalBay.

Workspace owners and clients are solely responsible for their own agreements, payments, deliverables, deadlines, revisions, approvals, refunds, chargebacks, communications, and disputes.

PortalBay is not a party to those relationships and does not control or guarantee either party’s conduct or obligations.

4.5 Client Portal Access

Clients may access only the specific public request forms, private portals, projects, messages, or materials made available to them by a workspace owner.

Clients must not attempt to access another client’s portal, another workspace owner’s workspace, another user’s account, or any part of PortalBay they are not authorized to access.

5. Workspace Owner Responsibilities

5.1 Responsibility for Workspace Owner Content

Workspace owners are responsible for all content, information, data, messages, files, file links, external links, project materials, request forms, portal content, and other materials they submit, upload, share, or manage through PortalBay.

This includes content submitted by or through their workspace, team members, clients, portals, or public request forms.

5.2 Rights and Permissions

Workspace owners must have all necessary rights, permissions, consents, and lawful bases to collect, submit, store, share, display, and manage any client data, personal data, project content, files, links, or other materials through PortalBay.

Workspace owners must not upload, share, or process content through PortalBay if they do not have the right to do so.

5.3 Compliance With Laws

Workspace owners are responsible for complying with laws and regulations that apply to their business and use of PortalBay, including laws related to data protection and privacy, consumer protection, electronic communications, intellectual property, taxation and invoicing, refunds and chargebacks, professional licensing or regulated services, marketing, spam, consent, client communications, and recordkeeping.

5.4 Client Personal Data

If workspace owners collect, store, or manage personal data about their clients through PortalBay, they are responsible for ensuring that they have an appropriate legal basis, notice, consent, contract, or other lawful permission where required.

Workspace owners should provide their own privacy notices to their clients where required by applicable law.

5.5 Accurate Representations

Workspace owners must not misrepresent their identity, services, credentials, availability, relationship with PortalBay, pricing, payment terms, refund terms, project status, delivery timelines, or what a client has approved, sent, paid, or agreed to.

5.6 Workspace Owner-Client Communications

Workspace owners are responsible for their own communications with clients, including proposals, invoices, payment instructions, deliverables, deadlines, revisions, approvals, feedback, support, and disputes.

PortalBay does not review or approve communications between workspace owners and clients as a matter of routine, but we may review, restrict, or remove content when needed for security, legal compliance, abuse prevention, support, or enforcement of these Terms.

5.7 External Links and Client Payments

PortalBay may allow workspace owners to share external project links or next-step resources with their clients.

PortalBay does not process payments between users and their clients. Any client billing or payment arrangement, instruction, or external payment page is handled outside PortalBay and is solely the responsibility of the user, client, and relevant third-party service.

PortalBay is not a marketplace, escrow service, money transmitter, payment intermediary, or payment processor for client payments. PortalBay does not verify, process, hold, release, transfer, guarantee, or manage payments between users and their clients.

5.8 Client Access Codes and Impersonation

Workspace owners must not request, collect, store, or use a client’s private portal access code to access PortalBay as that client.

Workspace owners must not access a private client portal as the client, impersonate clients, submit actions on behalf of clients, or attempt to make it appear that a client sent, approved, changed, paid, or submitted something they did not actually send, approve, change, pay, or submit.

If a client has trouble accessing a private portal, the workspace owner should use any available workspace owner or admin tools, support process, resend access instructions flow, or access reset/regeneration flow instead of asking the client to share their access code directly.

6. Client Responsibilities

6.1 Use of Client Portals

Clients may access PortalBay through a workspace owner’s public request form or private client portal.

Clients must use PortalBay only for legitimate project-related communication and collaboration with the workspace owner who provided access.

6.2 Responsibility for Client Content

Clients are responsible for all information, messages, files, file links, references, feedback, approvals, and other materials they submit through PortalBay.

Clients must ensure that their submissions are accurate, lawful, appropriate, and do not violate third-party rights, confidentiality obligations, privacy rights, or applicable laws.

6.3 Access Codes and Portal Links

Clients are responsible for keeping portal links, access codes, and other access details confidential.

Clients should not share their private portal access code with anyone, including the workspace owner, unless PortalBay provides an official access-sharing, reset, or support process that clearly allows it.

If a client has trouble accessing a portal, they should use any available reset, resend, or support flow provided by PortalBay, or ask the workspace owner to resend access instructions through the proper workspace owner or admin process instead of sharing their access code directly.

PortalBay is not responsible for unauthorized access, misleading activity, or harm caused by a client sharing their access code, portal link, account information, or credentials with another person.

6.4 No Misuse of Portal Features

Clients must not misuse, attack, disrupt, reverse engineer, bypass, scrape, spam, or attempt unauthorized access to PortalBay, a workspace owner’s workspace, another client’s portal, or any other system.

6.5 Project and Payment Issues

Clients understand that PortalBay is not responsible for client payments, refunds, chargebacks, project delivery, project quality, deadlines, revisions, approvals, or disputes.

Any such issue must be resolved directly with the workspace owner, unless applicable law provides otherwise.

7. Client Portals, Requests, Messages, and Project Content

7.1 Public Request Forms

Workspace owners may use PortalBay to create public intake or request forms.

PortalBay does not guarantee that public requests are genuine, complete, accurate, lawful, suitable, or submitted in good faith.

Workspace owners are responsible for reviewing and responding to public requests.

7.2 Private Client Portals

Workspace owners may use PortalBay to create private client portals for project communication and organization.

Private client portals may include project details, messages, files, file links, reference links, approval states, feedback, revision requests, external project links, and other project-related information.

7.3 Messages and Project Communication

PortalBay may provide messaging, feedback, approval, and notification features. These features are intended to help workspace owners and clients organize project-related communication.

PortalBay does not guarantee that messages, approvals, activity records, timestamps, or portal history will be accepted as legal evidence or fully represent the complete relationship between a workspace owner and a client.

7.4 Files, Links, and References

PortalBay may allow users to submit, upload, store, or share files, file links, reference links, external project links, or other materials.

Users are responsible for ensuring they have the right to share those materials and that the files, links, or materials do not contain malware, phishing, illegal content, infringing content, unauthorized data, or harmful material.

7.5 Activity and Action Attribution

PortalBay may display activity records or attribution based on available account, workspace, portal, client, or system information.

Users must not impersonate another person, use another person’s access code, portal link, account, or credentials to perform actions as that person, manipulate activity records, submit misleading information, or attempt to make it appear that another party performed an action they did not perform.

7.6 No Routine Moderation

PortalBay does not routinely review all project content, messages, files, links, or portal activity.

However, we may access, review, restrict, remove, preserve, or disclose content or account information if we reasonably believe it is necessary to provide support, operate or secure the Service, investigate abuse or suspected violations, comply with law or legal process, enforce these Terms, or protect PortalBay, users, clients, or third parties.

8. Payments and Billing

8.1 PortalBay Subscription Payments

PortalBay may offer free and paid plans, including plans such as Free, Solo, Pro, and Studio.

Paid subscriptions may provide access to additional features, usage limits, workspace capacity, portal capacity, project capacity, or other product functionality.

Customers pay PortalBay only for access to the software subscription. PortalBay subscription payments are separate from any payment between a user and a client.

The price, billing period, plan limits, included features, renewal terms, and cancellation options for PortalBay subscriptions will be shown at checkout, in the billing area, on the pricing page, or in other relevant product pages.

8.2 Subscription Billing Provider

PortalBay subscription payments may be processed by a third-party billing provider selected by PortalBay.

By purchasing a paid plan, you may also be subject to the applicable terms, policies, checkout terms, tax handling, and billing rules of the third-party billing provider.

PortalBay does not store full payment card details.

8.3 Billing Cycles and Renewal

Paid plans may renew automatically unless cancelled before the renewal date, depending on the plan and checkout terms shown at purchase.

By subscribing to a paid plan, you authorize the applicable billing provider to charge your payment method for recurring fees and applicable taxes, unless the subscription is cancelled according to the available cancellation process.

8.4 Cancellations

You may cancel your PortalBay subscription through the billing provider, billing portal, account settings, or another cancellation method made available by PortalBay.

Unless otherwise stated at checkout or required by applicable law, cancellation generally stops future renewals but does not automatically provide a refund for the current billing period.

8.5 Refunds for PortalBay Subscriptions

PortalBay subscription fees are generally non-refundable unless required by applicable law or approved at our discretion.

Refund requests may be reviewed on a case-by-case basis, subject to the billing provider’s policies, applicable law, and the circumstances of the request.

PortalBay may refuse refunds where there is fraud, abuse, misuse, excessive use, violation of these Terms, or where a refund is not required by applicable law.

Nothing in these Terms limits mandatory consumer rights that cannot legally be waived.

8.6 Plan Changes and Downgrades

If you change, downgrade, or cancel your plan, some features, limits, data, portals, projects, or workspace functionality may become limited, unavailable, archived, or subject to removal after reasonable notice where practical.

You are responsible for exporting or backing up important information before changing or cancelling your plan.

8.7 Payments Between Users and Clients

Payments between users and their clients are completely separate from PortalBay subscription payments.

PortalBay does not hold, receive, release, transfer, guarantee, or manage payments between users and their clients.

Users and their clients are solely responsible for their own payment terms, invoices, deposits, milestone arrangements, refunds, chargebacks, receipts, taxes, payment disputes, late payments, failed transactions, and financial obligations.

8.8 No Escrow, Marketplace, or Payment Intermediary

PortalBay is not an escrow service, marketplace operator, bank, money transmitter, payment intermediary, financial institution, or dispute resolution service.

There is no PortalBay money pool, escrow balance, held payment, protected payment, release mechanism, or system where a client pays PortalBay and PortalBay later releases money to a user.

If a user shares an external payment page or payment instruction, that payment relationship is directly between the user, the client, and the relevant third-party service.

PortalBay does not verify, guarantee, refund, reverse, mediate, or enforce payments between users and their clients.

9. Acceptable Use

9.1 General Rule

You may use PortalBay only for lawful, legitimate, and appropriate client portal, project communication, and workflow organization purposes.

You must not use PortalBay in a way that harms PortalBay, users, clients, third parties, or the integrity, security, or reputation of the Service.

9.2 Prohibited Uses

You must not use PortalBay to:

  • commit fraud, scams, deception, or financial abuse;
  • impersonate another person, business, brand, workspace owner, client, or organization;
  • misrepresent your relationship with PortalBay;
  • send spam, unsolicited bulk messages, or abusive communications;
  • engage in phishing, credential theft, malware distribution, or harmful technical activity;
  • upload, share, or link to viruses, ransomware, spyware, trojans, malicious code, or harmful files;
  • upload, share, or link to illegal, infringing, exploitative, hateful, abusive, threatening, defamatory, or harmful content;
  • harass, threaten, abuse, defame, intimidate, or target others;
  • collect, use, or share personal data without appropriate rights, permission, consent, or lawful basis;
  • violate intellectual property rights, privacy rights, publicity rights, confidentiality obligations, or contractual obligations;
  • attempt to bypass authentication, access codes, workspace permissions, portal permissions, plan limits, rate limits, billing limits, or security controls;
  • access or attempt to access accounts, workspaces, portals, systems, data, or content you are not authorized to access;
  • interfere with PortalBay’s infrastructure, security, availability, performance, or other users’ ability to use the Service;
  • scrape, crawl, copy, reverse engineer, or extract data from PortalBay except as permitted by law or with our written permission;
  • use PortalBay for unlawful, regulated, high-risk, or prohibited activities without appropriate authorization;
  • use PortalBay in a way that creates legal, security, operational, financial, or reputational risk for PortalBay or others.

9.3 Security Testing

You must not probe, scan, test, attack, bypass, or attempt to compromise PortalBay’s systems without our prior written permission.

9.4 Enforcement

We may investigate suspected violations of these Terms.

We may remove content, restrict features, limit access, suspend accounts, terminate accounts, block portals, disable public forms, or take other action if we reasonably believe a violation has occurred, a risk exists, the Service is being abused, users, clients, PortalBay, or third parties may be harmed, or we are required to act by law, legal process, or a third-party provider.

We are not obligated to monitor all activity on PortalBay, and our ability to take action does not create a duty to do so.

10. Third-Party Services

10.1 Providers

PortalBay may rely on third-party services for hosting, infrastructure, authentication, database, storage, transactional email, billing, analytics, DNS, security, performance, monitoring, and other operations.

These providers may include services such as Supabase, Resend, Vercel, Cloudflare, third-party billing providers, and similar or replacement providers.

This list may change as PortalBay evolves.

10.2 Third-Party Terms

Your use of certain features may be subject to third-party terms, privacy policies, processing rules, billing rules, or acceptable use rules.

You are responsible for reviewing and complying with applicable third-party terms where relevant.

10.3 Third-Party Failures

PortalBay is not responsible for delays, failures, outages, data loss, interruptions, email delivery issues, billing issues, access issues, security incidents, or other problems caused by third-party services outside our reasonable control, to the maximum extent permitted by law.

10.4 External Links

PortalBay may contain, display, store, or facilitate links to external websites, files, payment pages, reference materials, or third-party resources.

PortalBay does not control, endorse, verify, or assume responsibility for external links or third-party resources. Accessing or using external links is at your own risk.

11. Service Availability and Changes

11.1 Availability

We aim to provide a useful and reliable service, but PortalBay may be unavailable, delayed, interrupted, limited, degraded, or changed from time to time.

We do not guarantee that PortalBay will be uninterrupted, error-free, latency-free, perfectly secure, always available, or free from data loss.

11.2 Maintenance and Updates

PortalBay may perform maintenance, updates, migrations, security fixes, infrastructure changes, or emergency work that may affect availability or functionality.

11.3 Changes to the Service

We may add, remove, modify, limit, pause, discontinue, replace, or change parts of PortalBay at any time.

We may also change plan limits, features, pricing, billing terms, capacity, availability, or access rules.

Where practical, we may provide notice of material changes affecting paid users, but we are not required to provide notice for minor changes, security changes, urgent fixes, legal requirements, provider-related changes, or changes necessary to protect the Service.

11.4 No Service-Level Agreement

Unless we separately agree in writing, PortalBay does not provide a service-level agreement, uptime commitment, service credit, response-time guarantee, or support-time guarantee.

12. Data, Content, and Backups

12.1 Your Content

“Your Content” means content, information, messages, client data, project data, files, file links, feedback, approvals, requests, external links, payment instructions, and materials submitted, uploaded, shared, stored, processed, or managed through PortalBay by you, through your account, through your workspace, or through portals connected to your workspace.

You retain ownership of Your Content, subject to the limited rights you grant us to operate PortalBay.

12.2 Limited Permission to Operate the Service

You grant PortalBay a limited, non-exclusive, worldwide, royalty-free permission to host, store, process, display, transmit, copy, and use Your Content only as needed to provide the Service, operate client portals and workspaces, send notifications, provide support, troubleshoot issues, maintain and secure the Service, prevent abuse, comply with legal obligations, and improve the functionality, reliability, security, and user experience of the Service, in accordance with our Privacy Policy.

12.3 Responsibility for Content

You are responsible for Your Content and for ensuring that you have all rights, permissions, consents, and lawful bases needed to submit, share, and manage it through PortalBay.

PortalBay does not endorse user content and is not responsible for user content submitted by workspace owners, clients, team members, or other users.

12.4 Backups and Data Loss

PortalBay may use backups, logs, versioning, or recovery processes, but we do not guarantee that any content or data can always be recovered.

You are responsible for keeping your own copies of important business records, contracts, invoices, tax records, files, deliverables, payment records, client communications, project records, and other critical information.

PortalBay is not intended to be your only backup, archive, accounting system, legal records system, or long-term records management system.

12.5 Removal or Restriction of Content

We may remove, restrict, disable, preserve, or block access to content if we reasonably believe it violates these Terms, creates legal, security, operational, or reputational risk, infringes rights, is unlawful, may harm PortalBay, users, clients, or third parties, or is required to be removed or restricted by law, legal process, or a third-party provider.

12.6 Data After Cancellation or Termination

After cancellation, downgrade, suspension, or termination, you may lose access to some or all of your account, workspace, portals, projects, messages, files, links, and data.

We may delete or retain data according to our Privacy Policy, product rules, technical requirements, legal obligations, backup practices, and legitimate business needs.

13. Account Suspension and Termination

13.1 Suspension or Limitation

We may suspend, limit, restrict, or disable your account, workspace, public request form, private portal, feature access, or other access to PortalBay if we reasonably believe you violated these Terms, your use creates legal/security/operational/financial/reputational risk, your use appears fraudulent/abusive/unlawful/misleading/harmful, your payment fails or your subscription is not active where required, your account/workspace/portal is involved in suspected abuse, or we are required to act by law, regulation, court order, governmental request, third-party provider, or security concern.

13.2 Termination by You

You may stop using PortalBay at any time. You may cancel your subscription according to the available billing process.

Closing your account or cancelling your subscription does not automatically entitle you to a refund of prepaid fees unless required by law or approved at our discretion.

13.3 Termination by PortalBay

We may terminate accounts, workspaces, portals, or access if violations are serious, repeated, unresolved, or create risk.

We may also terminate or discontinue the Service as a whole if necessary.

13.4 Effect of Termination

After termination, your right to access and use PortalBay ends immediately or at the time specified by us.

You may lose access to your account, workspace, portals, content, messages, and data.

Sections that by their nature should survive termination will continue to apply, including sections related to ownership, content permissions, payment obligations, disclaimers, limitation of liability, indemnity where applicable, dispute terms, and enforcement.

13.5 Account Issues

If you believe your account was suspended or terminated in error, you may contact us at support@mail.portalbay.app.

PortalBay is not obligated to reinstate accounts in all circumstances.

14. Disclaimers

14.1 Service Provided “As Is”

PortalBay is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, PortalBay disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, security, and error-free operation.

14.2 No Guarantee of Outcomes

PortalBay does not guarantee that you will get clients, receive payments, complete projects, avoid disputes, increase revenue, satisfy clients, obtain approvals, recover data, avoid chargebacks, or achieve any business, financial, legal, or professional outcome.

14.3 No Guarantee of User or Client Conduct

PortalBay does not verify or guarantee the identity, honesty, quality, reliability, legality, payment behavior, performance, good faith, or suitability of any workspace owner, client, or other user.

14.4 No Responsibility for User-Client Disputes

PortalBay is not responsible for and has no obligation to mediate, resolve, investigate, enforce, refund, reverse, or otherwise become involved in disputes between users and their clients, including disputes about project scope, project quality, deadlines, revisions, approvals, deliverables, invoices, deposits, payments, refunds, chargebacks, communication, client satisfaction, or professional conduct.

14.5 Third-Party Services and External Links

PortalBay does not guarantee third-party services, external websites, external payment pages, files, links, email delivery, hosting providers, database providers, payment providers, or other resources outside our reasonable control.

15. Limitation of Liability

15.1 Exclusion of Certain Damages

To the maximum extent permitted by law, PortalBay and its operator, owners, contractors, service providers, affiliates, and representatives will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, including loss of revenue, profits, business, goodwill, reputation, data, content, opportunity, service interruptions, project disputes, payment disputes, client disputes, chargebacks, refund disputes, third-party service failures, external link issues, or security incidents outside our reasonable control.

This applies whether the claim is based on contract, tort, negligence, strict liability, warranty, statute, or any other legal theory, even if we have been advised of the possibility of such damages.

15.2 Maximum Liability

To the maximum extent permitted by law, PortalBay’s total aggregate liability for all claims related to the Service or these Terms will not exceed the greater of:

  • the amount you paid to PortalBay for the Service during the three months before the event giving rise to the claim; or
  • USD $100.

15.3 Mandatory Rights

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

Some jurisdictions do not allow certain exclusions or limitations of liability. In those cases, our liability will be limited to the maximum extent permitted by law.

16. Indemnity

16.1 Your Responsibility to Protect PortalBay

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless PortalBay, its operator, owners, contractors, service providers, affiliates, and representatives from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from or related to your use of PortalBay, your violation of these Terms, Your Content, your violation of law, your violation of third-party rights, your client relationships, your agreements with clients, your external links or payment instructions, client payments/refunds/chargebacks/disputes/deliverables, your misuse of PortalBay, or your failure to obtain necessary permissions, consents, or legal bases for data or content submitted through PortalBay.

16.2 Cooperation

We reserve the right to control the defense of any claim that requires indemnification, and you agree to cooperate with us in that defense.

You must not settle any claim in a way that imposes obligations on PortalBay without our prior written consent.

17. Changes to These Terms

17.1 Updates

PortalBay may update these Terms from time to time to reflect changes in the Service, applicable law, our business practices, third-party provider requirements, or security needs.

The “Last updated” date shows when these Terms were last revised.

17.2 Notice of Material Changes

For material changes, we may provide notice by email, in-app notification, website notice, or another reasonable method.

We may not provide advance notice for minor updates, urgent changes, security-related changes, legal requirements, or changes that do not materially affect your rights or obligations.

17.3 Continued Use

Your continued use of PortalBay after updated Terms become effective means you accept the updated Terms.

If you do not agree to the updated Terms, you must stop using PortalBay and cancel your subscription if applicable.

18. Governing Law and Disputes

18.1 Governing Law

These Terms are governed by applicable laws where PortalBay is operated, unless another law applies because of mandatory consumer protection, data protection, or other legal requirements.

18.2 Informal Resolution

Before starting a formal dispute, please contact us at support@mail.portalbay.app so we can try to resolve the issue informally.

18.3 Mandatory Rights

Nothing in this section limits rights that cannot legally be limited under applicable law.

19. Miscellaneous

19.1 Entire Agreement

These Terms, together with any referenced policies, plan terms, billing terms, and the Privacy Policy, form the agreement between you and PortalBay regarding your use of the Service.

19.2 Severability

If any part of these Terms is found invalid, illegal, or unenforceable, the remaining parts will continue to apply.

19.3 No Waiver

If we do not enforce a part of these Terms, that does not mean we waive our right to enforce it later.

19.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign or transfer these Terms as part of a merger, acquisition, reorganization, sale of assets, change of control, or similar transaction.

19.5 Headings

Section headings are provided for convenience only and do not affect the interpretation of these Terms.

These Terms are written in English. If these Terms are translated into another language, the English version will control unless applicable law requires otherwise.
